License & Reseller Agreement

1. Grant of License

Upon successful payment of the applicable License Fee, XperOne grants the reseller a limited, non-exclusive, non-transferable license to promote and resell approved digital bundles strictly through the official XperOne infrastructure.

This license authorizes monetization rights only. It does not grant ownership, distribution control, or sublicensing rights.

2. Nature of Platform

XperOne operates as a structured monetization network — not an open marketplace. All payments, automated delivery, license generation, and access control are handled exclusively through XperOne systems.

Resellers are not permitted to independently distribute master files or replicate backend infrastructure.

3. Revenue & Infrastructure Model

The platform operates under the following monetization structures:

• Standard Tier: 25% infrastructure processing share per sale.
• Hybrid Tier: ₹499 monthly platform fee + reduced 15% processing share.

XperOne manages payment gateways, automated delivery, license issuance, refund handling, and compliance tracking.

4. Minimum Advertised Pricing (MAP)

Each approved bundle includes a defined pricing range. Resellers must position and advertise products within the approved range to maintain ecosystem stability and brand value.

• Undercutting below the defined MAP is prohibited.
• Price dumping or unauthorized discounting may result in review.
• Repeated violations may lead to suspension or license termination.

5. Prohibited Actions

• Reselling full platform or backend access
• Sharing or distributing master DigitalVault files
• Repackaging assets outside approved delivery systems
• Removing licensing identifiers or documentation
• Processing payments outside official XperOne infrastructure

6. Licensing Protection

Each completed transaction generates a unique license record. Unauthorized redistribution, external resale outside the approved infrastructure, or intellectual property misuse may result in:

• Immediate account suspension
• Permanent license revocation
• Removal from the reseller network

7. Refund & Dispute Handling

As digital products are delivered instantly, refunds are conditional. XperOne retains authority over refund approvals, chargeback management, and dispute resolution.

Excessive refund disputes or fraudulent activity may trigger account review.

8. Termination

XperOne reserves the right to suspend or revoke reseller access in cases of violation, fraud, pricing manipulation, infrastructure bypassing, or repeated non-compliance.

9. No Earnings Guarantees

XperOne provides structured monetization infrastructure. Revenue outcomes depend on marketing execution, positioning, and reseller effort. No income guarantees are provided.

10. Modifications

XperOne may update this Agreement periodically to maintain operational stability. Continued use of the platform constitutes acceptance of revised terms.
